Build Versus Buy – A Merger And Acquisition Strategy For Information Technology Companies

Merger and Acquisition advisors, we regularly dialogue with the leaders in the IT industry. We giggle when we reach a decision maker with a large IT company, and he says: “We have a company policy that we do not buy companies.” Has this guy read the publications of the industry? Is his development of the company group as well? Does he understand the first mover advantage “or” window of opportunity? We got used to the confusing number of Internet product introductions, but the pace of introduction of technology has returned to robust levels. Any large company feels that they keep pace with this force through internal development efforts alone, is on the road to extinction.

Almost everyone agree that information technology will be a key engine for the control of costs in U.S. industry. Technology is our response to the other in this world economy competitive. Much of the technology development has come from small, entrepreneurial, nimble, low overhead business.

It is a huge paradox in the market. The institutional buyers of the technology are relatively conservative, the late adapters. This prevents the expected innovation and commercial success, which should of course follow the innovation and the passion of this young technology innovators.

These entrepreneurs need to respond to a market reach and encouraging initial success of the “early adopters”. Soon hit the wall and are not able to “cross the chasm” from a small group of early adopters with general market acceptance of the conservative majority. There is little economic value is created when a good technique in control or a lack of technology companies and has never achieved wide acceptance.
